Terms and Conditions

1. Agreement to these Terms

These Terms and Conditions ("Terms") are a binding agreement between you ("you" or "your") and DoppelScanner ("we," "us," or "our"). By purchasing, downloading, installing, or using the DoppelScanner Windows desktop application or visiting doppelscanner.com, you accept these Terms in full. If you do not accept them, do not use the App or this Site.

These Terms do not constitute legal advice. Review them and, where appropriate, consult your own counsel before relying on them.

2. Definitions

• App: The DoppelScanner Windows desktop application, including any updates we distribute.
• Site: The website at doppelscanner.com.
• License: The limited right to use the App granted to you under these Terms.
• License Key: The alphanumeric code issued to you at the time of purchase that activates the App.
• You: The person or entity that purchased, downloaded, or uses the App.

3. License grant

Subject to these Terms and your payment of the applicable purchase price, we grant you a non-exclusive, non-transferable, revocable license to install and use the App on up to 3 devices at a time. You may use the App for personal or commercial purposes. One license covers one user or one organization; it may not be shared across unrelated individuals or entities.

Activation slots are managed by Lemon Squeezy. If you want to move the App to a different machine, deactivate an existing device from Settings first to free a slot.

4. License key responsibility

Your License Key is tied to your purchase. Keep it private. Sharing your key with others, posting it publicly, or using it to activate more than 3 devices is a breach of these Terms and grounds for immediate revocation of your License without a refund.

If you believe your key has been compromised, contact us at support@doppelscanner.com so we can issue a replacement.

5. Restrictions

You must not:

• Reverse engineer, decompile, or disassemble the App, except to the extent that applicable law expressly prohibits restricting this activity.
• Redistribute, repackage, resell, sublicense, or rent the App or your License Key.
• Bypass, disable, or circumvent the license activation or validation mechanisms.
• Remove, alter, or obscure any copyright, trademark, or other proprietary notice within the App.
• Use the App in any way that violates applicable law or the rights of any third party.

6. Ownership and intellectual property

The App and all associated intellectual property rights remain the exclusive property of DoppelScanner. These Terms grant you a license to use the App; they do not transfer ownership of the software or any rights not expressly stated here. All rights not expressly granted are reserved.

7. Purchases, pricing, and taxes

DoppelScanner is sold as a one-time purchase through Lemon Squeezy, which acts as the Merchant of Record for all sales. Lemon Squeezy collects payment, issues your License Key, and handles applicable sales tax, VAT, and GST on our behalf. The price shown at checkout is the price you pay; all currency conversion, tax calculation, and receipt issuance are handled by Lemon Squeezy.

We reserve the right to change the price of the App for future purchases. Price changes do not affect licenses already purchased.

8. Refunds

Refund eligibility and processing are governed by Lemon Squeezy's refund policy. To request a refund, use the link in your purchase receipt email or contact us at support@doppelscanner.com and we will help. We will honor refunds that Lemon Squeezy approves.

9. License activation, validation, and deactivation

The App requires a successful activation against Lemon Squeezy's license API before it will open. After activation, the App periodically re-validates your license, at most once every 30 days. If validation cannot reach the server, the App continues running for up to 7 days before requiring a successful check.

You may activate the App on up to 3 devices at the same time. To free a slot, open Settings and click "Deactivate this computer." That slot becomes available for a different machine immediately.

The App makes no other network calls. Your files, file paths, and scan results are never transmitted. For full technical details, see our Privacy Policy.

10. Updates and changes to the App

We may release updates, bug fixes, or new versions of the App from time to time. We have no obligation to release any particular update or to maintain any specific feature indefinitely. Where we do release updates, we will distribute them via the same download link used for your original purchase.

A one-time license purchase does not entitle you to future major versions unless we state otherwise at the time of purchase.

11. Your responsibilities

You are responsible for:

• Maintaining complete, current backups of your data before running any deletion within the App.
• Verifying the scan results before deleting any file. Check that the files flagged as duplicates are indeed files you want to remove.
• Ensuring you have the right to delete the files you select (for example, confirming you are not deleting files owned by others or required by other software).
• Complying with all applicable laws when using the App (for example, data retention obligations in your jurisdiction or industry).

12. Third-party services

The App and Site interact with the following third-party services, each governed by their own terms of service and privacy policies:

• Lemon Squeezy: payment processing, tax collection, and license key management. When you purchase a license or activate the App, Lemon Squeezy processes your transaction and stores your activation record.
• Web hosting provider: hosts the Site and processes standard server log data as described in our Privacy Policy.

We are not responsible for the practices or availability of these third-party services. Your use of them is subject to their respective terms.

13. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE APP AND SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION:

• Any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement.
• Any warranty that the App will be error-free, uninterrupted, or free from harmful components.
• Any warranty that duplicate detection will be complete, accurate, or free from false positives or false negatives. The App uses SHA-256 content hashing; while highly reliable, it is not infallible.
• Any warranty that the App will be compatible with your specific hardware, operating system version, or other software.

Some jurisdictions do not allow the exclusion of implied warranties. In those jurisdictions, the above exclusions apply only to the fullest extent permitted by law.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL DOPPELSCANNER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE APP OR SITE, INCLUDING WITHOUT LIMITATION:

• Loss of data, loss of files, or corruption of files, including files deleted using the App.
• Loss of profits, revenue, or business opportunities.
• Loss of goodwill or reputation.
• Cost of substitute goods or services.

EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE LEGAL THEORY ASSERTED (CONTRACT, TORT, STATUTE, OR OTHERWISE).

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE APP WILL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR LICENSE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $10 USD, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In those jurisdictions, our liability is limited to the fullest extent permitted by law.

15. Indemnification

You agree to defend, indemnify, and hold harmless DoppelScanner from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your misuse of the App; or (c) your violation of any applicable law or the rights of any third party.

16. Termination

Your License terminates automatically and without notice if you materially breach these Terms. We may also revoke your License Key without a refund if we determine that: (a) your key was shared with others, (b) you initiated a fraudulent chargeback, or (c) you tried to bypass or circumvent the license validation system.

On termination for any reason, you must stop using the App and uninstall it from all devices. Sections 6, 13, 14, 15, 18, and 20 of these Terms survive termination.

17. Export controls and sanctions compliance

You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to a United States government embargo, and that you are not listed on any US government list of prohibited or restricted parties. You agree not to use the App in any jurisdiction or manner that would violate applicable US export control laws or regulations.

18. Governing law and venue

These Terms are governed by and construed in accordance with the laws of the State of New York, USA, without regard to its conflict of law rules. Any dispute arising from or relating to these Terms or your use of the App that cannot be resolved informally will be brought exclusively in the state or federal courts located in New York, and you consent to the personal jurisdiction of those courts.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND DOPPELSCANNER EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING.

If you are a consumer residing in a jurisdiction where mandatory local law provides you with greater protections (for example, within the European Union), those protections are not overridden by this clause.

19. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page. For material changes, we will notify you by email (using the address associated with your license) at least 30 days before the change takes effect. Continued use of the App or Site after the effective date constitutes your acceptance of the updated Terms.

Non-material changes (such as typographical corrections or clarifications that do not alter your rights) take effect immediately on posting.

20. Miscellaneous

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

Entire agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and DoppelScanner regarding your use of the App and Site. They supersede all prior understandings, agreements, or representations.

No waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer your License or any rights under these Terms without our prior written consent. We may assign our rights under these Terms in connection with a merger, acquisition, or sale of assets, and will provide reasonable notice when we do.
